These Terms of Service ("Terms") govern your use of the Dokitscript website and service available at dokitscript.com. The service is operated by LEDOFFYX LTD, a private limited company registered in England and Wales under company number 16642301, with its registered office at 20 Wenlock Road, London, England, N1 7GU ("we", "us", "our"). By using the service, you agree to these Terms. If you do not agree, please do not use the service.

1. Service Description

Dokitscript provides an online transcription and AI-assisted content platform. The service allows you to transcribe audio and video content from URLs published on TikTok, Instagram, YouTube (including YouTube Shorts), Facebook, X, and LinkedIn, as well as uploaded audio and video files (MP3, WAV, M4A, OGG, FLAC, MP4, WebM, AAC, and similar formats).

In addition to transcription, Dokitscript offers AI-powered features including summaries, key points, translation, rewrite, captions, blog post generation, chapter detection, fact-checking, source suggestions, contextual learning, and custom questions. Depending on your plan, the service also includes speaker detection and text-to-speech audio generation of translated content. These features are powered by third-party AI technologies.

2. Eligibility

You must be at least 15 years old to use this service (the minimum age of digital consent under the GDPR). By using Dokitscript, you confirm that you meet this age requirement. If you are under 18, you confirm that you have parental consent.

3. User Accounts

• You are responsible for maintaining the confidentiality of your account credentials.
• You must provide accurate and truthful information when registering.
• You are responsible for all activity that occurs under your account.
• You must notify us immediately of any unauthorised use of your account.
• We reserve the right to suspend or terminate accounts that violate these Terms.

4. Acceptable Use

You agree not to use Dokitscript to:

• Transcribe content that you do not have the right to access or reproduce.
• Submit content — whether a URL or an uploaded file — without holding all necessary rights, licences, consents, and authorisations required for that content to be processed, stored, and used by the service, including the consent of any identifiable person whose voice or likeness appears in the content.
• Violate any applicable law or regulation, including copyright law, data protection law, or the terms of service of any third-party platform from which content is sourced.
• Circumvent or attempt to circumvent the service's usage limits, including by creating multiple accounts or deleting and re-creating an account to reset free tier quotas.
• Use automated scripts or bots to access the service.
• Attempt to reverse engineer, hack, or disrupt the service.
• Distribute, resell, or sublicense the transcription output for commercial purposes without our written consent.

You are solely responsible for ensuring that you have the right to submit any content you provide to the service.

5. Plans and Usage Limits

The service is offered under the following plans:

• Free (anonymous): up to 1 transcription per month, up to 1 minute per video, no account required.
• Free (registered): up to 5 transcriptions per month, up to 3 minutes per video.
• Starter: up to 200 transcriptions per month, up to 8 minutes per video (paid subscription).
• Pro: unlimited transcriptions per month, up to 45 minutes per video (paid subscription, subject to fair-use policy below).
• Business: unlimited transcriptions per month with speaker detection, up to 5 hours (300 minutes) per video (paid subscription, subject to fair-use policy below).

To protect the integrity of the free tier, if you delete your account, re-registration with the same email address is restricted for 90 days. Accounts created from a device previously associated with a deleted account may be subject to reduced free tier limits. We reserve the right to adjust plan limits and pricing with reasonable notice.

5.1 Fair-Use Policy (Pro and Business plans)

"Unlimited" plans (Pro and Business) are designed for normal professional and personal use. To ensure consistent quality of service for all users and protect against abusive automated usage, the following fair-use thresholds apply per calendar month, measured in cumulative minutes of audio transcribed:

• Pro plan: up to 1,300 minutes of transcribed audio per month (~22 hours).
• Business plan: up to 7,500 minutes of transcribed audio per month (125 hours).

You will receive an informational email at 70% of your monthly fair-use quota. Upon reaching 100%, transcription requests may be temporarily limited until the start of the next calendar month, or until you contact us at [email protected] to discuss a quota increase or a higher-tier plan suited to your usage. Quotas reset automatically on the 1st of each calendar month. We reserve the right to adjust these thresholds with reasonable notice.

6. Your Content, Licence & AI Training

You retain full ownership of all content you submit to the service ("Content"), including the audio or video files and the transcription outputs generated from them.

By submitting Content, you grant LEDOFFYX LTD a worldwide, non-exclusive, royalty-free licence to host, store, process, and use your Content solely for the purposes of operating, improving, and developing the service, including training and developing Dokitscript's AI models. Any Content used for AI training purposes is de-identified before use. We do not sell your personal data to third parties.

By submitting Content, you represent and warrant that:

• You hold all rights, licences, consents, and authorisations necessary to submit the Content and to grant the licence described above.
• You have obtained the consent of any identifiable person whose voice or likeness is captured in the Content, where such consent is required by applicable law.
• The submission and processing of your Content does not infringe any third-party intellectual property rights, privacy rights, or other applicable laws.

7. Payments and Subscriptions

• Paid plans are billed monthly via Stripe, our payment processor. Annual billing options are available for certain plans.
• Subscriptions renew automatically unless cancelled before the renewal date.
• You may cancel your subscription at any time from your account settings.
• One-time credit purchases are also available for users who prefer not to subscribe. Certain plans and payment methods may also support cryptocurrency payments.
• Refunds are evaluated on a case-by-case basis in accordance with our Refund Policy. Contact [email protected] for refund requests.
• Prices are displayed in USD. Localised pricing may be shown in other currencies depending on your location. Currency conversion fees may apply depending on your bank or payment provider.

8. Intellectual Property

Dokitscript and its original content, features, and functionality are owned by LEDOFFYX LTD and are protected by applicable intellectual property laws. The transcription output and AI-generated content produced from your submitted material belongs to you, subject to the licence granted in Section 6.

TikTok, Instagram, YouTube, Facebook, X, and LinkedIn are trademarks of their respective owners. Dokitscript is not affiliated with, endorsed by, sponsored by, or connected to any of these platforms or their parent companies.

9. Disclaimer of Warranties

The service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not guarantee that:

• The service will be uninterrupted, error-free, or always available.
• Transcription results will be 100% accurate.
• Any particular video, URL, or uploaded file will be successfully processed.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Dokitscript shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the service, including but not limited to loss of data, loss of revenue, or business interruption.

Our total liability for any claim related to the service shall not exceed the amount you paid us in the 3 months preceding the claim.

11. Termination

We reserve the right to suspend or terminate your access to the service at any time, with or without notice, if you violate these Terms or for any other reason at our sole discretion. You may delete your account at any time by contacting us.

12. Changes to These Terms

We may update these Terms from time to time. Significant changes will be communicated to registered users by email at least 14 days before taking effect. Continued use of the service after changes take effect constitutes your acceptance of the new Terms.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes shall first be addressed through good-faith negotiation and, failing an amicable resolution, shall be subject to the exclusive jurisdiction of the courts of England and Wales.
